Terms of Use

1. ACCEPTANCE OF TERMS

These Terms of Use ("Terms") govern your access to and use of the Cur8r Technologies platform, including the website at cur8r.in, app.cur8r.in, and all associated services (collectively, the "Platform").

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accessing the Platform on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you must immediately discontinue use of the Platform.

2. DESCRIPTION OF SERVICES

Cur8r provides an AI-native procurement intelligence SaaS platform that includes:

• (a) Tender discovery and aggregation from publicly available Indian government procurement portals
• (b) AI-powered document analysis of tender documents including NITs, BoQs, DPRs, and annexures
• (c) Company Data Vault for secure storage and cross-referencing of company credentials
• (d) TenderSmart - a visual bid preparation workflow and canvas
• (e) Compliance gap detection and eligibility analysis
• (f) AI-generated bid preparation assistance including technical proposal drafts and financial bid templates
• (g) Notification services for tender alerts

3. ELIGIBILITY AND ACCOUNTS

• 3.1 You must be at least 18 years of age to create an account.
• 3.2 You must provide accurate, complete, and current information during registration.
• 3.3 You are responsible for maintaining the confidentiality of your account credentials.
• 3.4 You are responsible for all activity under your account.
• 3.5 Enterprise accounts may have multiple users subject to the subscriber's license terms.

4. PERMITTED USE

You may use the Platform solely for lawful procurement-related purposes in connection with your legitimate business activities. You agree to use the Platform in compliance with all applicable Indian laws including:

• Companies Act, 2013
• General Financial Rules, 2017
• Information Technology Act, 2000
• DPDP Act, 2023

5. PROHIBITED CONDUCT

You must NOT:

• (a) Use the Platform to prepare or submit fraudulent, colluding, or anti-competitive bids
• (b) Violate any government procurement regulation or CVC guideline
• (c) Upload to the Platform any documents, data, or materials that you are not authorised to share
• (d) Attempt to access any government portal through the Platform using credentials belonging to another person
• (e) Reverse engineer, decompile, or attempt to extract the source code of the Platform
• (f) Scrape, copy, or reproduce Platform data for competing commercial purposes
• (g) Use the Platform to harass, defraud, or harm any third party
• (h) Upload malicious code, viruses, or disruptive material
• (i) Create false, misleading, or fraudulent company profiles or credentials in the Company Data Vault
• (j) Share your account credentials with unauthorised third parties

6. AI-GENERATED CONTENT - IMPORTANT DISCLAIMER

• 6.1 The Platform uses artificial intelligence to analyse tender documents and generate compliance assessments, eligibility analyses, bid summaries, proposal drafts, and other outputs.
• 6.2 AI-generated outputs are provided for informational and assistive purposes ONLY.
• 6.3 Cur8r does not guarantee the accuracy, completeness, or compliance of any AI-generated output with applicable procurement rules, technical specifications, or legal requirements.
• 6.4 YOU ARE SOLELY RESPONSIBLE for reviewing, verifying, and validating all AI-generated outputs before using them in any actual tender submission.
• 6.5 Cur8r shall not be liable for any bid disqualification, financial loss, regulatory action, or legal consequence arising from reliance on AI-generated outputs without independent verification.

7. TENDER DATA AND THIRD-PARTY PORTALS

• 7.1 Cur8r aggregates publicly available tender data from Indian government procurement portals.
• 7.2 Cur8r does not guarantee the accuracy, currency, or completeness of aggregated tender information. Always verify against the official government portal.
• 7.3 Cur8r is not responsible for any tender missed, deadline passed, or opportunity lost as a result of errors or delays in tender data aggregation.
• 7.4 Government portal terms of use apply to data sourced from those portals.

8. COMPANY DATA VAULT

• 8.1 You retain full ownership of all documents and data uploaded to your Company Data Vault.
• 8.2 By uploading documents, you grant Cur8r a limited, non-exclusive licence to process, analyse, and store those documents solely for the purpose of providing the Platform services to you.
• 8.3 This licence terminates when you delete the document or close your account.
• 8.4 You represent and warrant that you have full legal right to upload all materials you place in the Data Vault and that doing so does not violate any third-party rights or confidentiality obligations.

9. INTELLECTUAL PROPERTY

• 9.1 The Platform, including all software, algorithms, AI models, UI design, trademarks, and content, is the intellectual property of Cur8r Technologies Private Limited.
• 9.2 Nothing in these Terms grants you any ownership of Platform IP.
• 9.3 You retain ownership of data and documents you upload, subject to the limited licence in Section 8.
• 9.4 Cur8r owns all aggregated, de-identified, and anonymised insights derived from Platform usage.

10. SUBSCRIPTION AND PAYMENT

• 10.1 Access to the Platform is subject to applicable subscription fees.
• 10.2 Subscription terms, pricing, and billing cycles are as specified in your Order Form or subscription agreement.
• 10.3 All fees are exclusive of GST, which shall be charged at applicable rates.
• 10.4 Refunds are at Cur8r's sole discretion unless otherwise specified in a written commercial agreement.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• 11.1 Cur8r's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total subscription fees paid by you to Cur8r in the 12 months preceding the claim.
• 11.2 Cur8r shall not be liable for any indirect, incidental, special, consequential, or punitive damages including lost profits, lost business opportunity, loss of data, or bid disqualification, even if advised of the possibility of such damages.
• 11.3 This limitation applies regardless of the legal theory under which the claim is brought.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Cur8r Technologies Private Limited and its directors, officers, and employees from any claim, liability, damage, or expense arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law; (d) any content or data you upload to the Platform.

13. TERM AND TERMINATION

• 13.1 These Terms remain in effect for the duration of your use of the Platform.
• 13.2 You may terminate at any time by closing your account.
• 13.3 Cur8r may suspend or terminate your access immediately for material breach of these Terms, fraudulent activity, or as required by law.
• 13.4 On termination, your right to access the Platform ceases immediately. Data retention is as per the Privacy Policy.

14. GOVERNING LAW AND DISPUTES

• 14.1 These Terms are governed by the laws of India.
• 14.2 Any dispute arising from these Terms shall first be subject to good-faith negotiation between the parties.
• 14.3 If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of courts in Faridabad, Haryana, India.

15. GENERAL

• 15.1 These Terms constitute the entire agreement between you and Cur8r regarding the Platform.
• 15.2 If any provision is found unenforceable, the remaining provisions remain in effect.
• 15.3 Cur8r's failure to enforce any right does not constitute a waiver of that right.
• 15.4 We may update these Terms periodically. Material changes will be notified via email and Platform notice.
